We are seeking a highly motivated and business-oriented Deputy Corporate Secretary to join the team of a leading investment fund in Moscow. The ideal candidate for this role will have 8+ years of experience in corporate law and a strong command of the English language.
Key Responsibilities:
Management of corporate activities for the group. Organization and control of corporate procedures for supreme governing bodies: comprehensive support for Board of Directors' activities (preparation of agendas, materials, and minutes) and general meetings of participants/shareholders.
Legal support for transactions and structural transformations: initiation and management of processes for the establishment, reorganization, and liquidation of legal entities (LLCs, JSCs) in connection with fund transactions and internal restructurings. Registration of changes with the Unified State Register of Legal Entities (EGRUL).
Development and implementation of corporate governance standards: creation and updating of internal documents (regulations, policies, procedures), ensuring their compliance with shareholder agreements (SHA) and legal requirements.
Legal expertise and risk mitigation: preparation of legal opinions and analytical memoranda for investment teams, advisory services on corporate law matters, protection of the company's interests during inspections.
Assistance in the implementation of the group's projects (including M&A).
Interaction with government authorities and counterparties: work with the Federal Tax Service (FTS), notaries, and registrars; provision of complete corporate information packages for KYC and Due Diligence procedures.
Corporate records management: ensuring the safekeeping and relevance of charter documents and corporate actions archives (in both hard copy and electronic form).
Coordination and liaison: work with the group's operational assets on all corporate governance matters.
Calendar management, business structure updates, maintenance of affiliated persons lists.
Candidate Requirements:
Higher legal education.
Over 8 years of experience in corporate law; experience in investment companies, funds, or large corporate structures is preferred.
In-depth knowledge of the Russian Civil Code, Federal Laws "On Limited Liability Companies" and "On Joint-Stock Companies," as well as established judicial and administrative practice.
Ability to analyze large volumes of information, work effectively under multitasking conditions, and strictly adhere to deadlines.
Excellent verbal and written communication skills, strong interpersonal abilities, and the skill to explain complex legal matters in clear, accessible language.
Attention to detail, high degree of responsibility, and proactiveness.
English language proficiency at the Upper-Intermediate level or higher (for business correspondence and document work).
