Respond A rapidly growing company is looking for a Corporate Lawyer to join their corporate team and take responsibility for legal support and corporate governance. This is an opportunity to engage in work, involving interaction with government agencies, supporting company operations, and participating in promising projects. We require a professional with at least 5 years of experience, capable of working to the highest standards and quickly adapting to new tasks.
Responsibilities:
Corporate Governance & Compliance: • Registration of legal entities (LLCs, JSCs), amendments to corporate documents, and updates to the Unified State Register of Legal Entities (EGRUL); • Supporting reorganizations, liquidations, and internal corporate restructuring; • Organizing shareholders’/participants’ meetings, drafting minutes and resolutions; • Ensuring compliance of corporate procedures and charter documents with Shareholders’ Agreements; • Facilitating the work of Boards of Directors, including preparing materials in English and coordinating agenda items; • Developing internal corporate governance documents (policies, bylaws, charters); • Collecting and providing corporate data to counterparties for KYC procedures; • Coordinating with operational assets on corporate governance matters; • Maintaining corporate records (both physical and digital archives).
General Legal Support: • Liaising with notaries, registrars, tax authorities, and other government bodies on corporate matters; • Protecting corporate interests during audits and regulatory inspections; • Preparing legal memoranda, analytical reports, and advisory materials on corporate law; • Identifying and mitigating legal risks related to company operations.
Requirements: • Law degree (LLB/JD or equivalent); • 4+ years of experience in corporate law; • In-depth knowledge of the Russian Civil Code, Federal Laws "On Limited Liability Companies," and "On Joint-Stock Companies"; • Familiarity with court rulings and regulatory guidance on corporate governance; ability to navigate evolving legislation; • Strong analytical skills for processing large volumes of information; • Excellent communication and negotiation skills; fluency in business correspondence; • Ability to meet strict deadlines with attention to detail; • Upper-Intermediate (B2+) English proficiency.
Preferred Skills: • Experience in cross-border transactions or international corporate structures; • Drafting bilingual (RU/EN) corporate documents.
