Negotiating, drafting and review of agreements for sale and purchase of shares and shareholders agreements (primary UK law)
Conducting due diligence review
Work with international law firms and coordinating their work in cross-border transactions and advising clients regarding various matters in different jurisdictions
Drafting legal opinions, memoranda and notes to the clients regarding different matters
AML and other compliance procedures, preparing of documents and coordination of process
Structuring initial investment and further financing deals and drafting and reviewing transactional documents governed by English law, including SPAs, SHAs, Investment and Subscription Agreements (both internally and engaging legal counsels)
Drafting step-plans, summaries and notes to the beneficiary and the business team regarding different matters
Engaging firm’s international offices as well as local counsel and coordinating their work in cross-border transactions and advising clients regarding various matters in different jurisdictions
Coordination of internal processes with legal aspects
Main requirements:
University degree in Law. Relevant postgraduate awards/certifications would be an advantage
At least 5 years’ of relevant work experience (International law firms, Private Equity Funds)
Fluent English
