A leading Private Equity fund is seeking a Senior Legal M&A Counsel to oversee the legal aspects of M&A transactions, manage investment deals, and provide strategic legal support for a diverse range of transactions.
Key Responsibilities:
Full legal support for M&A transactions, investment projects, and private equity/venture capital deals
Participation in deal teams (partners, investment bankers, financial analysts), providing legal advice at all stages of the transaction
Structuring deals, risk assessment, drafting and negotiating legal documentation (SPA, SHA, term sheets)
Negotiating with banks, investors, and counterparties in both English and Russian
Engaging and managing external legal advisors, setting tasks, and overseeing their work
Overseeing corporate governance and legal matters of portfolio companies
Handling ad-hoc legal requests from investors and fund partners
Key Requirements:
Law degree from a top university (additional Western legal education is a plus)
Experience in international legal consulting (Big 4, top-tier law firms) or a mix of consulting and in-house roles
Strong knowledge of Russian and English law, with hands-on experience in deal structuring and execution
Proven track record in complex deal management, including transactions involving banks, holding structures, and financial instruments
Ability to independently lead transactions from start to finish, including contract drafting, structuring, and negotiations
Experience managing large-scale projects and coordinating external counsel
Fluent English for contract negotiation and legal advisory
