Deputy Head of Legal Counsel specializing in M&A

We are seeking a highly skilled Deputy Head of Legal Counsel specializing in M&A to join our esteemed investment fund. The ideal candidate will report directly to the General Counsel, possess a strategic mindset and client-oriented approach, and lead a team of M&A legal professionals. This role requires a minimum of 15 years of experience in M&A transactions, corporate law, and deals involving debt financing within international law firms, investment funds, and holding companies. The successful candidate will demonstrate exceptional legal expertise, leadership qualities, and a proactive attitude.
Key Responsibilities:
  • M&A Transaction Structuring: Structure deals under Russian, English, and American law.
  • Debt Financing Transactions: Oversee deals involving debt financing.
  • Asset Integration: Oversee the seamless integration of newly acquired assets.
  • Corporate Reorganization: Manage corporate restructurings and reorganizations.
  • Partnerships and Strategic Alliances: Facilitate partnerships and collaborations.
  • Comprehensive Legal Support: Provide legal guidance across all business functions.
  • Regulatory Monitoring: Monitor legislative changes and ensure compliance.
  • Risk Management: Identify and manage legal risks associated with business operations.
  • Implementation of Best Practices: Develop and implement current legal practices and policies.
  • External Consultant Coordination: Manage relationships with external legal advisors.
  • Corporate Governance: Ensure execution of corporate procedures for group entities.
Requirements:
  • Education: Higher education in law, with an LLM certification highly desirable.
  • Experience: At least 15 years in M&A and corporate law within international law firms, investment funds, or holding companies.
  • Legal Expertise: Proven experience with Russian, English, and American law.
  • Language Proficiency: Fluency in Russian and English, both written and spoken.
  • Leadership Skills: Ability to independently manage complex projects and lead a team.
  • Strategic Vision: Ability to see the big picture and contribute to the company's strategy.
  • Client-Oriented: Strong dedication to client service and satisfaction.
