We are seeking an experienced Senior M&A Legal Counsel to join our prestigious investment fund. The ideal candidate will report directly to the General Counsel and possess a strategic mindset, client-oriented approach, and the ability to work independently. With a minimum of 10 years of experience in M&A transactions and corporate law within international law firms, investment funds, and holding companies, this role demands exceptional legal expertise and a proactive attitude.
Responsibilities:
Structuring M&A Transactions: Expertise in structuring deals under Russian, English, and American law.
Integration of New Assets: Overseeing the seamless integration of acquired assets.
Corporate Reorganizations: Managing corporate restructurings and reorganizations.
Partnerships and Collaborations: Facilitating various forms of partnerships and strategic alliances.
Legal Support: Providing comprehensive legal support across all business functions.
Regulatory Monitoring: Regularly monitoring changes in legislation and ensuring compliance.
Risk Management: Identifying and managing legal risks associated with business operations.
Implementation of Best Practices: Developing and implementing current legal practices and policies.
Coordination with External Consultants: Managing relationships and coordination with external legal advisors.
Corporate Governance: Ensuring the execution of corporate procedures for group entities and overseeing management activities within controlled companies and projects.
Requirements:
Education: Higher education in law; LLM certification is highly desirable.
Experience: At least 10 years of experience in M&A and corporate law within international law firms, investment funds, or holding companies.
Legal Expertise: Proven experience working with Russian, English, and American law.
